WORLD BUSINESS COLLABORATION (WBC)

BUSINESS MEMBERSHIP TERMS & CONDITIONS

1. Parties

These Business Membership Terms & Conditions (“Agreement”) are entered into between WBC International (Pvt.) Ltd., a company incorporated/registered in Pakistan under applicable corporate laws (“WBC” or “Company”), and the individual, entrepreneur, professional, startup, organization or company applying for WBC Business Membership (“Member”).

2. Nature of WBC Membership

WBC Membership is a commercial business service/program offered by WBC International (Pvt.) Ltd.

Membership provides access to selected business networking, promotional, digital, B2B and other business support services offered by WBC from time to time.

WBC Membership does not:

1. Constitute ownership or shareholding in WBC International (Pvt.) Ltd.

2. Make the Member a shareholder or director of WBC.

3. Create a partnership, employment relationship or agency between the Member and WBC.

4. Guarantee investment, employment, sales, contracts, visas, immigration, loans or business profits.

5. Authorize the Member to represent WBC unless separately authorized in writing.

3. Membership Categories and Fees

WBC may offer different membership categories according to its approved commercial membership structure.

Fees, membership categories and benefits may be revised by WBC according to its approved commercial policies.

The applicable fee and benefits for a particular Member shall be those stated on the Member’s application, invoice, membership certificate or other official WBC documentation.

4. Membership Services

Subject to the selected membership category and availability, WBC may provide:

• Business networking

• B2B introductions and meetings

• Global business directory listing

• Business promotion

• Import and export networking

• Business referrals

• Conferences, seminars and events

• Training and professional development

• Digital and IT services

• Business consultancy

• Investment and Joint Venture networking

• Business development opportunities

• Women and youth business programs

• International business connections

• Other business support services announced by WBC

WBC does not guarantee that any introduction, meeting, referral or networking activity will result in a transaction or financial benefit.

5. Membership Application

Membership shall become effective after:

1. Submission of the membership application;

2. Verification and/or approval by WBC;

3. Payment of the applicable membership fee; and

4. Issuance or activation of the membership.

WBC may request reasonable identification, business registration or other information for verification and compliance purposes.

WBC may reject an application where it reasonably considers the applicant unsuitable for membership or where applicable legal or compliance requirements are not satisfied.

6. Membership Card / Certificate

Where applicable, WBC may issue a physical or digital membership card or certificate.

The membership card/certificate:

• Remains subject to membership validity;

• Is non-transferable unless WBC expressly permits transfer;

• Must not be altered, copied or misused;

• May be suspended or cancelled in case of misuse.

Loss of a physical membership card should be reported to WBC promptly.

7. Membership Fee

The membership fee is a service/membership fee and is not an investment in WBC.

Unless expressly stated otherwise in writing:

• The fee does not purchase shares;

• The fee does not create ownership rights;

• The fee does not create a right to dividends or company profits;

• The fee does not constitute a loan or deposit.

Applicable taxes, government charges or payment-processing charges, where legally applicable, may be payable separately.

8. Renewal

Membership shall normally remain valid for the period stated on the membership documentation.

A Member may renew membership by paying the applicable renewal fee.

WBC may change renewal fees or benefits for future membership periods, subject to applicable law and the terms communicated to the Member.

9. Cancellation and Termination

WBC may suspend or terminate membership where a Member:

• Provides materially false information;

• Misuses the WBC name, logo or membership card;

• Engages in fraudulent or unlawful activity;

• Damages WBC’s reputation through serious misconduct;

• Violates these Terms & Conditions;

• Uses WBC membership for unauthorized representations or commitments.

Where appropriate, WBC may provide the Member an opportunity to respond before termination.

10. No Guarantee of Business Results

WBC provides networking and business-support services but does not guarantee:

• Sales;

• Profit;

• Investment;

• Customers;

• Contracts;

• Employment;

• Immigration or visa approval;

• Financing;

• Export orders;

• Import orders;

• Joint Venture completion;

• Business development results; or

• Any specific financial return.

All commercial transactions between Members and third parties shall be undertaken at the parties’ own responsibility.

11. Independent Transactions

A Member is responsible for conducting its own due diligence before entering into a transaction with another Member, partner, investor, supplier, buyer or other third party.

WBC may facilitate introductions but does not automatically become a party to transactions between Members and third parties.

12. Use of WBC Name and Logo

Membership does not automatically authorize a Member to:

• Issue documents on behalf of WBC;

• Make commitments in WBC’s name;

• Collect money on behalf of WBC;

• Appoint other persons as WBC representatives; or

• Use WBC’s logo in a misleading manner.

Any official representative authority must be granted separately in writing by WBC.

13. Member Information

The Member agrees that WBC may use information supplied in the membership application for legitimate membership administration, communication, directory listing and provision of requested services, subject to applicable law and WBC’s privacy policies.

Where a public business directory is involved, WBC may publish appropriate business information supplied or approved by the Member.

Sensitive personal information shall not be publicly displayed unless there is an appropriate legal basis or consent.

14. Intellectual Property

WBC’s:

• Name;

• Trademarks;

• Logos;

• Website;

• Membership materials;

• Software;

• Databases;

• Designs;

• Publications; and

• Other intellectual property

remain the property of WBC or its respective licensors unless otherwise stated.

Membership does not transfer intellectual-property ownership to the Member.

15. Events and International Activities

WBC may organize or participate in:

• Conferences;

• Exhibitions;

• Business delegations;

• Trade missions;

• Seminars;

• Networking events;

• International business meetings; and

• Other commercial activities.

Separate registration fees, travel costs, accommodation, visa costs and other expenses may apply.

Participation in an event does not constitute a guarantee of business results.

16. Joint Ventures and Investment Opportunities

WBC may facilitate or promote potential Joint Venture, investment, business development or collaboration opportunities.

Such opportunities shall be subject to separate agreements and appropriate due diligence.

Membership alone does not provide any automatic entitlement to participate in a particular Joint Venture or investment opportunity.

No Member should transfer funds to another Member, investor or third party solely on the basis of WBC membership without conducting appropriate independent verification.

17. Member Responsibilities

The Member agrees to:

1. Provide accurate information;

2. Comply with applicable laws;

3. Maintain professional conduct;

4. Respect other Members;

5. Avoid fraudulent or misleading representations;

6. Protect membership credentials;

7. Pay applicable fees on time; and

8. Comply with WBC policies and event-specific terms.

18. Refunds

Refunds, if any, shall be governed by the specific refund and cancellation policy stated on the membership application, invoice or official WBC terms.

Where a service has already been substantially provided, the Member may not automatically be entitled to a refund merely because the Member did not obtain a desired commercial result.

Nothing in this clause is intended to exclude any mandatory consumer or other legal rights that cannot lawfully be excluded.

19. Complaints and Disputes

Members may submit complaints to WBC through its official communication channels.

WBC will endeavor to resolve genuine membership-related complaints fairly and reasonably.

For disputes that cannot be resolved amicably, the applicable laws and jurisdiction specified in the final executed Agreement shall apply.

20. Amendments

WBC may update membership benefits, operational procedures and commercial policies from time to time.

Material changes applicable to an existing membership shall be communicated through appropriate official channels where required.

21. Governing Law

This Agreement shall be interpreted subject to the applicable laws of the Islamic Republic of Pakistan, unless a separate written agreement expressly provides otherwise and such arrangement is legally permissible.

22. Entire Agreement

This Agreement, together with the membership application, invoice, membership certificate/card terms and any applicable WBC policies, constitutes the understanding between WBC and the Member concerning the membership service.

23. Member Declaration

I/We confirm that:

• The information provided in the application is true and accurate;

• I/We have read and understood these Membership Terms & Conditions;

• I/We understand that WBC Membership is a commercial business service and does not constitute shareholding or ownership in WBC International (Pvt.) Ltd.;

• I/We understand that WBC does not guarantee business profits, contracts, investment or commercial results;

• I/We agree to comply with applicable laws and WBC policies.
